Please read these Terms of Use carefully, because they govern your access to and use of NotchPaste. By downloading, installing or using NotchPaste, or by buying a license, you agree to these Terms. If you do not agree with them, do not use NotchPaste.

1.About these Terms

These Terms of Use (the “Terms”) are a legally binding agreement between NotchPaste (“NotchPaste”, “we”, “us” and “our”) and the individual or entity using NotchPaste (“you” and “your”). They cover the NotchPaste app for macOS and any future NotchPaste apps (the “App”), the website at https://notchpaste.com (the “Website”) and the licensing service at api.notchpaste.com (together with the App and the Website, the “Service”).

You must be old enough to enter into a binding contract where you live, or have the permission of a parent or guardian. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf.

Related documents. Our Privacy Policy and our Refund Policy are part of these Terms and should be read together with them.

2.License to use NotchPaste

Subject to these Terms, we grant you a worldwide, personal, revocable, non-exclusive, non-transferable and limited license to install and use the App.

Free use. Anyone may use the App free of charge within the limits of the free plan, which currently shows your 25 most recent copies and up to 3 saved items across pinboards and prompts.

NotchPaste Pro. A paid license (“Pro”) removes those limits and unlocks additional features. One license is for one person, who may activate it on up to 3 Macs that they use. A Mac can be deactivated from Settings › Account at any time to make room for another.

Restrictions. Except as permitted by law, you may not copy, sell, rent, lease, sublicense or redistribute the App or a license key; decompile, disassemble or reverse engineer the App; remove or bypass its licensing or security features; or use the App to build a competing product.

3.Free trial

New installations include a 7-day free trial of every Pro feature. The trial needs no account and no payment details, never turns into a paid plan and never charges you. When it ends, the App continues on the free plan. Nothing you saved is deleted; items beyond the free limits stay on your Mac and become visible again if you upgrade.

We may change, shorten or withdraw the trial for future installations, and may refuse a trial where we reasonably believe it is being abused.

4.Plans, prices and payment

Plans. Pro is offered as a monthly subscription, a yearly subscription or a one-time lifetime license. Current prices are shown on the Website (at the time of writing $2.49 per month, $29.99 per year and $69.99 once, in US dollars).

Taxes. Prices exclude taxes unless stated otherwise. Sales tax, VAT or GST may be added at checkout depending on where you live.

Payment processing. Payments are processed by Stripe. Your payment details are entered on Stripe’s checkout page and go directly to Stripe; we never receive or store your full card details. Where Stripe acts as the reseller or merchant of record for your purchase, it also handles taxes and receipts, and the terms of sale shown at checkout apply to the transaction. Stripe’s own terms and privacy policy apply to the payment. We are not responsible for payments that fail because of incorrect payment details or because the payment was declined.

Automatic renewal. Monthly and yearly subscriptions renew automatically at the end of each billing period, and the payment method on file is charged the then-current price, until you cancel. By subscribing you authorize these recurring charges.

Price changes. We may change our prices. A new price never applies to a period you have already paid for. If the price of your subscription goes up, we will tell you by email before your next renewal, and you can cancel before it takes effect.

Lifetime licenses. A lifetime license is a single payment for Pro on the Mac App for as long as we offer and support it, including all of its future updates. “Lifetime” refers to the life of the product, not of the purchaser. It does not include separate future products, such as an iPhone or iPad app, unless we say otherwise.

Failed payments. If a renewal payment fails, Stripe will retry it for a limited period. If it still fails, your subscription ends and the App returns to the free plan.

5.Cancellation and refunds

You can cancel a subscription at any time from Settings › Account › Manage subscription in the App, or by writing to hello@notchpaste.com. Cancellation stops future renewals; you keep Pro until the end of the period you have already paid for.

Every first purchase comes with a 14-day money-back guarantee. Refunds are handled as described in our Refund Policy at https://notchpaste.com/refunds.

6.License keys and activation

After a purchase you receive a license key. Keep it private: anyone with your key can activate it. The App contacts our licensing service to activate, renew and deactivate a license, and stores a signed license token on your Mac. If the App cannot reach the licensing service for an extended period, Pro features may pause until it can verify the license again.

We may deactivate or revoke a license key that has been shared publicly, resold, obtained fraudulently, refunded or charged back, or used in breach of these Terms.

7.Your content

Everything the App records, including clipboard history, pinboards and prompts (“Your Content”), is stored locally on your Mac. You keep all rights to Your Content. We do not receive it, cannot see it and do not use it for any purpose, including training AI models.

You are responsible for Your Content, for what you copy and paste, and for keeping your own backups. The App tries to skip passwords and secrets, but no filter is perfect; you can exclude any app, pause recording and clear your history at any time, and you should do so for material you do not want stored.

8.Acceptable use

You may not use the Service, or help anyone else use it, for any of the following (the list is representative, not exhaustive):

  • any activity that breaks a law or regulation, or infringes the rights of others;
  • gaining unauthorized access to computers, accounts, programs or data;
  • fraud, or providing false or misleading information;
  • distributing malware, spam or other harmful code;
  • interfering with, overloading or disrupting the Service or our licensing infrastructure;
  • generating, sharing, selling or publishing license keys, or circumventing license checks;
  • scraping the Website or the licensing service with bots, scripts or other automated means.

9.Intellectual property

Our content. The App, the Website and everything in them, including software, source code, designs, text, graphics, logos and icons, are owned by us or our licensors and protected by intellectual property laws. Except for the license granted in these Terms, no rights are transferred to you.

Our brand. You may not use the NotchPaste name, logo or other trademarks without our prior written permission, or in any way that suggests we sponsor, endorse or are associated with you.

Third-party marks. Names such as macOS, ChatGPT, Claude and Cursor are trademarks of their respective owners. They are mentioned only to describe compatibility, and we are not affiliated with or endorsed by those owners.

Open-source software. The App includes open-source components that are licensed to you under their own licenses, which prevail over these Terms for those components.

Feedback. If you send us ideas or suggestions, you allow us to use them without any obligation to you.

Infringement claims. If you believe that something on the Website or in the App infringes your rights, write to hello@notchpaste.com with enough detail for us to locate it. We will respond within two weeks.

10.Third-party services

The Service relies on, and the Website links to, services operated by third parties, such as Stripe for payments and Apple’s macOS. We are not responsible for the content, availability, security or privacy practices of third-party services, and your use of them is governed by their own terms.

11.Updates and changes to the Service

We may release updates that add, change or remove features, and some updates may be required to keep using the licensing service. We may also change or discontinue any part of the Service. If we discontinue the App while you have a paid subscription, we will refund the unused part of your current billing period.

12.Availability and force majeure

We make reasonable efforts to keep the Website and the licensing service available, but we do not guarantee that they will be uninterrupted or error-free. Availability may be affected by maintenance or by events beyond our reasonable control, including network or power failures, failures of third-party providers, natural disasters, war, terrorism, strikes, epidemics or acts of government. We are not responsible for delays or failures caused by such events.

13.Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY.

We do not warrant that the App will meet your requirements, work with every app or macOS version, be free of bugs, or never lose data. It is your responsibility to decide whether the App suits your purpose before relying on it, and to keep backups of anything important.

Nothing in these Terms limits rights you have as a consumer that cannot be limited or waived by contract under the law of the country where you live.

14.Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits do not apply to liability that cannot be excluded or limited by law, such as liability for death or personal injury caused by negligence, or for fraud.

15.Indemnification

To the extent permitted by law, you agree to indemnify and hold us harmless from any third-party claim or demand, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.

16.Termination

You may stop using the Service at any time by uninstalling the App and, if you have a subscription, cancelling it.

If you breach these Terms, we may, depending on the seriousness of the breach, warn you, suspend or revoke your license, or report the matter to the relevant authorities. Where the law requires it, we will tell you the reason. Sections that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability and governing law, survive it.

17.Governing law and disputes

If you have a problem with the Service, please contact us first at hello@notchpaste.com; most issues can be solved quickly that way.

These Terms are governed by the laws of the place where NotchPaste is established, without regard to its conflict-of-law rules. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of the country where you live, and you may also bring proceedings in the courts of that country.

18.Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the law, new features or our business. The updated Terms take effect when they are published on this page, and the effective date above will change. If a change materially affects paying customers, we will tell them by email or in the App before it takes effect. If you continue to use the Service after the change takes effect, you accept the updated Terms; if you do not agree with them, stop using the Service and cancel any subscription.

19.General

Entire agreement. These Terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between you and us about the Service.

Severability. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions stay in full effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours, for example as part of a merger or sale of the business, provided your rights under these Terms are not reduced.

Language. These Terms are written in English. Summaries in other languages are provided for convenience; if they differ, the English version prevails.
